These Terms of Service ("Terms") govern your access to and use of www.omodeo.studio and any related pages, content, and features operated by Lakehaus Designs LLC DBA Omodeo LLC ("Omodeo," "we," "us," or "our") (collectively, the "Site").
Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Relationship to Client Agreements
The Site is an informational and marketing resource. Nothing on the Site constitutes an offer to perform services, a quotation, a bid, or a contract.
Design, cabinetry, millwork, construction management, and all other services we provide (the "Services") are governed exclusively by a separate written agreement signed by Omodeo and the client (a "Client Agreement"). In the event of any conflict between these Terms and a Client Agreement, the Client Agreement controls with respect to the Services.
Submitting an inquiry, completing a form, or corresponding with us does not create a contract, an engagement, or any obligation on the part of Omodeo to provide Services.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Site. By using the Site, you represent that you meet these requirements.
3. How We Use Information
Subject to these Terms, Omodeo grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use, or for internal business purposes in evaluating Omodeo as a service provider.
This license does not include any right to:
- Resell, redistribute, or commercially exploit the Site or its contents
- Copy, reproduce, download, scrape, frame, or mirror any portion of the Site except as permitted in Section 4
- Use any data mining, robot, crawler, or similar automated data gathering or extraction tool
- Reverse engineer, decompile, or attempt to derive the source code of any portion of the Site
- Use the Site or its contents to train, fine-tune, or develop any machine learning or artificial intelligence model
- Remove, obscure, or alter any copyright, trademark, or other proprietary notice
4. Intellectual Property
4.1 Ownership
All content on the Site — including photographs, renderings, drawings, shop drawings, specifications, text, design concepts, layouts, graphics, logos, and the selection and arrangement of that content — is owned by Omodeo or its licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.
Design concepts, drawings, and specifications prepared by Omodeo remain our property as instruments of service, except as expressly provided otherwise in a Client Agreement.
4.2 Photography
Project photography displayed on the Site is licensed to Omodeo by the photographer or is owned by Omodeo. Photographs may not be reproduced, republished, or redistributed without the prior written consent of Omodeo and, where applicable, the photographer.
4.3 Permitted Use of Images
You may share links to Site pages and may repost images from the Site on social media only if you (a) do not crop, alter, or remove watermarks or credits; (b) credit Omodeo and any photographer identified on the Site; and (c) do not suggest endorsement, affiliation, or that the work is your own. We may revoke this permission at any time.
4.4 Trademarks
"Omodeo," the Omodeo wordmark and logo, and all related names and marks are trademarks of Omodeo. You may not use them without our prior written permission.
5. Your Submissions
You may send us architectural drawings, photographs, plans, measurements, inspiration images, project descriptions, and other materials ("Submissions").
You represent and warrant that you own or have all rights necessary to provide each Submission to us, and that our receipt and use of it will not infringe the rights of any architect, designer, photographer, or other third party.
You grant Omodeo a non-exclusive, royalty-free, worldwide license to use, reproduce, and modify Submissions for the purpose of evaluating your inquiry and, if applicable, performing the Services. We claim no ownership of your Submissions.
Do not send confidential or proprietary information through the Site expecting it to be treated as confidential. Confidentiality obligations arise only under a signed Client Agreement or a separate written confidentiality agreement.
6. Prohibited Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law
- Impersonate any person or entity, or misrepresent your affiliation
- Upload or transmit viruses, malware, or any other harmful code
- Interfere with, disrupt, or place undue load on the Site or its infrastructure
- Attempt to gain unauthorized access to any portion of the Site or any related systems
- Harvest email addresses or other contact information for unsolicited commercial messages
7. Accuracy of Content; No Professional Advice
We make reasonable efforts to keep Site content current, but we make no representation that it is accurate, complete, or up to date. Project descriptions, material specifications, dimensions, lead times, and pricing references are illustrative only and are subject to change without notice.
Content on the Site does not constitute design, architectural, engineering, construction, legal, or financial advice, and should not be relied upon as such. Materials, finishes, and natural stone vary in color, pattern, and figure; images cannot be relied upon to represent the appearance of any specific material.
8. Third-Party Links and Content
The Site may contain links to third-party websites, vendors, manufacturers, and social media platforms. We provide these links for convenience only. We do not endorse, control, or assume responsibility for the content, products, privacy practices, or conduct of any third party.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, OMODEO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
This Section does not limit or disclaim any warranty expressly provided in a Client Agreement with respect to the Services.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OMODEO AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow certain limitations of liability, so portions of this Section may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Omodeo and its members, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Site; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any right of a third party.
12. Copyright Complaints
If you believe content on the Site infringes your copyright, please send a written notice to our designated agent at [EMAIL] including: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing and its location on the Site; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the owner's behalf.
We will respond to properly submitted notices in accordance with the Digital Millennium Copyright Act.
13. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
14. Changes to the Site and These Terms
We may modify, suspend, or discontinue the Site, in whole or in part, at any time and without notice. We may also revise these Terms at any time by posting an updated version with a new "Last Updated" date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. You agree that any action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in [COUNTY] County, Georgia, and you consent to the personal jurisdiction of those courts.

16. General

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Omodeo regarding the Site, and supersede all prior understandings regarding the Site. They do not supersede any Client Agreement.
Survival. Sections 4, 5, 9, 10, 11, 15, and 16 survive any termination of these Terms.
